Constitution of the Association of Yale Alumni In Medicine

History

The Association of Yale Alumni in Medicine adopted its first constitution on June 9, 1880. Over the years, the articles of the original constitution were amended and revised in particular sections. On June 21, 1921, a complete revision was accomplished. Subsequent amendments were also accomplished in 1951, 1959, and 1970, 1971, 1990, 2017 and 2025.

Purpose

To advance the welfare of the Yale University School of Medicine and to assist its students and its alumni in any and all appropriate ways.

Article I

Name and Membership

Section 1: The name of this organization shall be the Association of Yale Alumni in Medicine ("AYAM", "Association").

Section 2: The membership of this Association shall be made up of voting members who are graduates of the Yale University School of Medicine (YSM) and non-voting members who have served as interns, residents, or fellows at Yale teaching hospitals.

Section 3: The fiscal year of the Association shall be July 1 to the subsequent June 30.

Article II

Meetings

Section 1: The Association shall meet annually as specified in the Bylaws. Additional Special Meetings of the Association may be called by a majority vote of the officers. Thirty members present at an Association meeting, properly called, shall constitute a quorum. Provision will be made for attendance and voting in person, by phone and/or by video conference.

Section 2: Notice of each Annual or Special meeting shall be sent to the membership at least 30 days in advance of the date set.

Article III

Officers, Executive Committee and Functions

Section 1: The Officers of the Association shall be President, Vice-President, Secretary and Immediate Past President. The President, Vice President and Secretary shall be elected for a 2-year term. They shall remain in office for the tenure of their appointments or until their successors are elected. Officers shall take office on July first.

Section 2: Voting members of the Executive Committee shall be MD graduates of YSM, and shall consist of the 4 Officers of the Association, 10 Members-at-Large, 6 Delegates to the Yale Alumni Association, one non-MD graduate of YSM, and one GME Liaison Member (former house staff from Yale New Haven Hospitals and its predecessors). Non-voting members include all other appointed AYAM Committee Chairs. The Dean of the School of Medicine, the senior representatives in charge of YSM alumni affairs, the YSM Alumni Fund representative to the Yale University Alumni Fund and the AYAM representative to the YSM Education Committee (EPCC) shall be members of the Executive Committee, ex- officio. The President may appoint, with the consent of a majority of the elected Officers, additional representatives and committee chairs as defined or adopted in the Bylaws.

Section 3: Members-at-Large and the GME Liaison Member are each elected for 2-year terms. Five Members-at-Large are elected each year. Members-at-Large and the GME Liaison Member may each be elected to one additional consecutive term. Delegates to the Yale Alumni Association (YAA) shall be elected to a 3-year term, and may not serve 2 consecutive terms.

Section 4: Elections to voting positions on the Executive Committee will take place at the time of the Annual Meeting, with all terms commencing on July first.

Section 5: When members have completed service in Leadership positions, as elected voting Members of the Executive Committee or as Delegates to the Yale Alumni Association and are no longer serving in any of those positions, they will automatically assume emeritus/emerita status and may participate in all Association activities, including non-voting positions on the Executive Committee, and including nominating committees. Their participation in meetings of the Association is strongly encouraged, but not required.

Article IV

Section 1: As described in the Bylaws, the President with the concurrence of a majority of the Executive Committee shall appoint such committees as are desirable and essential. Other mechanisms of establishing a committee are described in the Bylaws.

Section 2: The Bylaws Committee shall be a standing committee. The function of this committee is described in the Bylaws.

Article V

Amendment to the Constitution

Section 1: The Constitution may be amended by a majority vote of the members present at any Annual or Special Meeting, properly called, provided that copies of proposed amendments have been distributed to the membership at least 30 days in advance of the meeting, and provided that the Executive Committee recommends the change.
